We can draft specialist articles for your company and prepare and file the relevant minutes and resolutions. For example, bespoke clauses could add specific procedures for transfers of shares or give or restrict certain rights of the directors.
We can change your company name for you by Special Resolution. We will provide a Change of Name certificate, a re-print of the Memorandum and Articles of Association (optional) and a new company seal (optional).
If you're in a hurry, don't worry, we can provide same day service if required.
We can prepare and file all resolutions regarding any Change of Share Capital and supply new Articles of Association. Changes of Share Capital might include creation of additional share classes, the sub-division or consolidation of shares or a capital reduction.
We can carry out the Purchase of Own Shares – financed either from distributable reserves or from capital. We would produce minutes, resolutions, contracts and arrange for an advert to be place in the national press – where this is required by company law.
We can change your company limited by shares to a Public Limited Company (PLC) or vice versa by re-registering it.
We can re-print updated sets of Memorandum & Articles of Association. This would include all changes from when the company was registered.
